Welcome to Tekari. These Terms & Conditions govern all purchases, supply arrangements, quotes, orders, and related transactions with Tekari (Pty) Ltd (“Tekari”, “we”, “us”, or “our”).

By requesting a quote, placing an order, purchasing goods or services from Tekari, or supplying goods to Tekari, you agree to these Terms & Conditions.


1. About Tekari

Tekari is a South African ICT sourcing, supply, and reseller business. We help customers source and procure computers, components, peripherals, networking equipment, accessories, and related technology products from a trusted supplier network.

In many cases, Tekari acts as a sourcing intermediary and fulfilment partner, which means products may be sourced directly from third-party suppliers, distributors, or wholesalers and may not always be held in Tekari’s own physical stock.


2. Customer Types

To ensure fairness and legal compliance, Tekari deals with two categories of customers:

2.1 Business Customers (B2B)

A Business Customer is any person, company, close corporation, partnership, government contractor, reseller, repair shop, retailer, institution, or other entity purchasing goods or services for:

  • resale,
  • business use,
  • operational use,
  • tender fulfilment,
  • project delivery, or
  • commercial purposes.

2.2 Consumer Customers (B2C)

A Consumer Customer is a natural person purchasing goods primarily for personal, private, or household use.

Some clauses in these Terms apply differently depending on whether you are a Business Customer or a Consumer Customer.


3. Quotes, Orders, and Acceptance

3.1 Quotations

All quotations issued by Tekari are subject to:

  • stock availability,
  • supplier confirmation,
  • exchange rate movements where applicable,
  • pricing validity periods,
  • specification availability, and
  • correction of any accidental errors.

Unless otherwise stated in writing, quotations are valid for the period stated on the quote. If no validity period is stated, Tekari may revise pricing or availability before order confirmation.

3.2 Order Acceptance

An order is only accepted once Tekari confirms it in writing, whether by email, invoice, order confirmation, or payment acknowledgement.

3.3 Right to Refuse or Cancel

Tekari reserves the right to refuse, decline, or cancel any order before fulfilment where there is:

  • a pricing error,
  • incorrect product information,
  • stock unavailability,
  • supplier withdrawal,
  • fraud risk,
  • credit risk,
  • compliance concerns, or
  • any circumstance beyond our reasonable control.

If Tekari cancels an order that has already been paid for, any amount due to the customer will be refunded in accordance with applicable law.


4. Nature of Supply and Fulfilment

4.1 Sourcing Model

Tekari may source products through approved suppliers, distributors, wholesalers, importers, or other third parties.

4.2 Third-Party Fulfilment

Products may be shipped:

  • from Tekari,
  • from a supplier on Tekari’s behalf, or
  • through a nominated logistics partner or courier.

4.3 Product Availability and Lead Times

All lead times are estimates unless expressly confirmed otherwise in writing. Tekari is not responsible for delays caused by:

  • supplier shortages,
  • manufacturer delays,
  • courier disruptions,
  • customs clearance,
  • force majeure events, or
  • market-wide stock constraints.

5. Pricing and Payment

5.1 Pricing

Unless clearly stated otherwise, all prices are:

  • quoted in South African Rand (ZAR),
  • exclusive of VAT, and
  • subject to correction in the event of typographical, supplier, or system errors.

5.2 Payment Terms

Payment is due upfront and in full unless Tekari has agreed in writing to credit terms or alternative payment arrangements.

5.3 Credit Terms

Any credit terms granted by Tekari may be withdrawn, changed, or suspended at Tekari’s discretion if payment risk changes or an account becomes overdue.

5.4 Late Payment

Overdue amounts may attract interest at prime rate plus 2% per annum, calculated from the due date until date of payment in full, subject to applicable law.

5.5 Allocation of Payments

Tekari may allocate payments received toward any outstanding invoice, charge, fee, interest, or balance owing on the customer’s account.


6. Delivery, Ownership, and Risk

6.1 Delivery

Delivery will be made to the address provided by the customer, or by collection where agreed.

The customer is responsible for ensuring that:

  • delivery details are correct,
  • an authorised person is available to receive the goods, and
  • the delivery location is safe and accessible.

6.2 Delivery Times

Delivery dates are estimates only unless expressly agreed otherwise in writing. Tekari is not liable for any loss arising from delivery delays.

6.3 Passing of Risk

For Business Customers, risk in the goods passes on dispatch, handover to the courier, or collection, whichever occurs first.

For Consumer Customers, risk passes on delivery to the consumer or the consumer’s authorised recipient, in line with applicable South African consumer law.

6.4 Ownership

Ownership of the goods remains with Tekari until all amounts due in respect of those goods have been paid in full and cleared in Tekari’s bank account.

Until ownership passes, Tekari reserves the right to reclaim or withhold goods where lawful and where payment remains outstanding.


7. Inspection on Delivery

Customers must inspect goods as soon as reasonably possible after delivery.

Any visible damage, shortages, incorrect items, or delivery discrepancies should be reported to Tekari in writing as soon as possible, together with:

  • the order or invoice number,
  • photographs where relevant, and
  • a clear description of the issue.

Failure to report a visible issue promptly may affect Tekari’s ability to recover from the courier or supplier, although this does not limit any non-excludable rights a Consumer Customer may have under law.


8. Returns, Faults, Refunds, and Warranties

8.1 General

Tekari supplies products sourced from third-party manufacturers and distributors. Manufacturer warranties may apply to certain goods, and Tekari will assist with the applicable claims process where reasonably possible.

Tekari does not provide any additional warranty beyond what is required by law or expressly stated in writing.

8.2 Business Customers

For Business Customers:

  • confirmed orders are generally non-cancellable,
  • returns are not accepted unless approved in writing by Tekari,
  • approved returns may be subject to supplier approval,
  • handling fees, courier fees, inspection fees, or restocking charges may apply,
  • special-order, indent, configured, customised, software, licensing, and non-standard products are generally non-returnable unless defective.

If goods are alleged to be defective, Tekari may require inspection, testing, supplier assessment, or manufacturer evaluation before any remedy is approved.

8.3 Consumer Customers

For Consumer Customers, nothing in these Terms limits any rights you may have under the Consumer Protection Act, 2008 or any other applicable South African law.

Where legally applicable, Consumer Customers may be entitled to:

  • repair,
  • replacement, or
  • refund

for defective or unsafe goods, subject to the conditions and timelines provided by law.

8.4 Non-Defective Returns

Returns of non-defective goods may be accepted only at Tekari’s discretion and may be subject to:

  • prior written approval,
  • unopened packaging,
  • resaleable condition,
  • supplier acceptance, and
  • applicable handling or restocking fees.

8.5 Exclusions

Returns or warranty claims may be refused where the issue arises from:

  • misuse,
  • abuse,
  • power surges,
  • accidental damage,
  • unauthorised repairs,
  • incorrect installation,
  • software corruption,
  • unsupported configurations,
  • neglect, or
  • use contrary to manufacturer instructions.

9. Product Information and Compatibility

Tekari makes reasonable efforts to provide accurate product information, specifications, and compatibility guidance. However:

  • specifications may change without notice,
  • images may be illustrative,
  • manufacturer descriptions may contain errors,
  • product colours, packaging, ports, accessories, or bundled items may vary.

The customer remains responsible for confirming suitability for their intended use, environment, system, project, or tender requirements before placing an order.

Where Tekari provides recommendations, these are based on the information supplied to us and do not constitute engineering, legal, or technical certification unless expressly stated.


10. Tender, Project, and Procurement Supply

Where goods are sourced for tenders, public sector projects, private contracts, or bulk procurement:

  • all supply remains subject to availability and supplier confirmation,
  • quoted specifications must be checked by the customer before submission,
  • Tekari is not liable for losses arising from tender disqualification, bid failure, project delay, or client rejection,
  • the customer is responsible for ensuring that all quoted products meet the required tender or project specification.

Any project timelines given are estimates unless confirmed in writing.


11. Resale and Distribution

Business Customers may resell products supplied by Tekari, subject to:

  • applicable law,
  • manufacturer restrictions,
  • licensing rules,
  • export controls, and
  • intellectual property rights.

Tekari does not guarantee any exclusive territory, protected channel, exclusive pricing structure, or exclusive access to any product line unless specifically agreed in writing.

Tekari reserves the right to:

  • source from different suppliers,
  • allocate stock at its discretion,
  • change supplier routes,
  • revise pricing structures, and
  • adjust commercial terms based on market conditions.

12. Intellectual Property

All trademarks, logos, product names, brand assets, software rights, and related intellectual property remain the property of their respective owners.

Nothing in these Terms grants any person any intellectual property rights except the limited right to purchase, use, or resell the goods lawfully for their intended purpose.


13. Confidentiality

Both parties must keep confidential any non-public commercial information disclosed during the course of dealing, including:

  • pricing,
  • quotations,
  • supplier details,
  • technical proposals,
  • commercial structures,
  • procurement arrangements, and
  • business information.

This does not apply where disclosure is:

  • required by law,
  • already public,
  • independently known, or
  • authorised in writing by the disclosing party.

14. Limitation of Liability

14.1 Indirect Loss

To the fullest extent permitted by law, Tekari will not be liable for any indirect, incidental, special, punitive, or consequential loss, including:

  • loss of profit,
  • loss of business,
  • loss of revenue,
  • loss of contracts,
  • loss of tenders,
  • downtime,
  • data loss, or
  • reputational harm.

14.2 Liability Cap

To the fullest extent permitted by law, Tekari’s total liability in relation to any claim will not exceed the amount actually paid by the customer to Tekari for the goods or services giving rise to the claim.

14.3 No Exclusion of Mandatory Rights

Nothing in these Terms excludes or limits any right or remedy that cannot lawfully be excluded under South African law.


15. Force Majeure

Tekari will not be liable for any failure, interruption, or delay caused by events beyond our reasonable control, including:

  • natural disasters,
  • war,
  • civil unrest,
  • strikes,
  • transport failures,
  • pandemics,
  • power failures,
  • supplier shutdowns,
  • import restrictions,
  • customs delays,
  • cyber incidents, or
  • telecommunications failures.

During any force majeure event, Tekari’s obligations will be suspended for the duration of the disruption to the extent reasonably necessary.


16. Compliance and Lawful Use

Customers and suppliers must ensure that all goods are used, resold, deployed, exported, and installed in compliance with:

  • South African law,
  • applicable licensing requirements,
  • manufacturer terms,
  • import/export controls, and
  • industry regulations.

Tekari is not responsible for unlawful or unauthorised downstream use of products once lawfully supplied.


17. Governing Law and Jurisdiction

These Terms & Conditions are governed by the laws of the Republic of South Africa.

Any dispute arising from or relating to these Terms, or any transaction with Tekari, will be subject to the jurisdiction of the South African courts, unless applicable law provides otherwise.


18. Changes to These Terms

Tekari may update these Terms & Conditions from time to time. The latest version published on our website will apply to all new transactions from the effective date shown at the top of the page.

Customers should review these Terms before placing each order.


19. Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be treated as severed, and the remaining provisions will continue in full force and effect.
